Terms of Service

General terms and conditions — last updated May 10, 2026

1. Definitions and parties

"OrientIA S.r.l.s." (registered office at Via Nazionale 79, 81028 Santa Maria a Vico (CE), Italy, VAT/Tax ID IT04966350615, REA CE-369813, Share capital €4,900.00 fully paid, PEC orientia@pec.it, hereinafter "Provider") operates the SaaS platform called OrientIASales, a B2B cloud tool for managing sales networks, product catalogs, price lists, and mobile orders.

"Customer" means the company or professional subscribing to the service and accepting these Terms on their own behalf and on behalf of their users (agents, operators, enabled end customers).

"User" means any individual who accesses the platform under the Customer's account.

2. Acceptance

Use of the OrientIASales platform implies full acceptance of these Terms. If you are acting on behalf of a company, you represent that you have the authority to bind that company. If you do not accept these terms, you may not use the service.

3. Service description

OrientIASales is a cloud SaaS platform that includes, depending on the subscribed plan:

  • Product catalog and customized price lists per agent/customer
  • Mobile app for agents (iOS and Android) with offline capabilities
  • Web portal for operators and administrators
  • B2B self-service portal for end customers
  • Order management, documents, and statistics
  • Integrations with ERP and management systems (via CSV import / API)
  • Email and mobile push notifications

The Provider reserves the right to modify, add, or remove features with reasonable notice.

4. Free trial

The service is available as a free trial for 30 days from registration, with no credit card required. After the trial period, a paid plan is required to continue using OrientIASales. Data entered during the trial remains available for its duration. If the account is not converted, data is deleted within 90 days of trial expiry.

5. Plans and payments

Paid plans are described on the Pricing page. Fees are charged in advance on a monthly or annual basis according to the chosen plan. Invoices are issued by OrientIA S.r.l.s. with applicable Italian VAT. In case of non-payment, the Provider may suspend access to the service with 7 days' notice via email.

6. Customer obligations

The Customer agrees to:

  • Provide accurate information and update it promptly
  • Keep access credentials confidential and immediately notify unauthorized access
  • Use the service in compliance with applicable laws and these Terms
  • Not use the service for illegal, fraudulent, or third-party-rights-infringing activities
  • Not attempt to access other tenants' data or compromise infrastructure security
  • Respect usage limits (number of users, API rate limits) specified in the subscribed plan

7. Data and intellectual property

Customer data: The Customer retains full ownership of data entered into the platform. The Provider processes such data solely to provide the service and does not share it with third parties without consent.

Provider intellectual property: OrientIASales, its source code, brand, design, and all documentation are the exclusive property of OrientIA S.r.l.s.. Use of the service does not transfer any intellectual property rights to the Customer.

Data export: The Customer can export their data at any time using the export functions available in the platform. Upon service termination, the Provider guarantees a 30-day window for export before data deletion.

8. Service levels (SLA)

The Provider commits to maintaining service availability of 99.5% monthly(excluding scheduled maintenance communicated at least 48 hours in advance, and force majeure events). In case of downtime exceeding contractual thresholds, the Customer may request service credits. The Provider does not guarantee the same SLA level for free trial accounts.

9. Limitation of liability

To the extent permitted by law, the Provider is not liable for:

  • Indirect damages, loss of profits, or consequential damages
  • Data loss due to Customer errors or force majeure events
  • Third-party service interruptions (internet connectivity, cloud services, etc.)
  • Unauthorized account use resulting from the Customer's negligence in safeguarding credentials

The Provider's total liability is in any case limited to the fees paid in the preceding 12 months.

10. Termination and cancellation

By the Customer: The Customer may cancel the service at any time from the administration area or via email. Cancellation takes effect at the end of the already-paid period. No refunds are provided for unused periods.

By the Provider: The Provider may terminate the contract with 30 days' notice for any reason, or immediately in case of material breach of these Terms.

11. Changes to Terms

The Provider may modify these Terms with at least 30 days' notice via email to active customers. Changes take effect on the date indicated in the communication. Continued use of the service after that date constitutes acceptance of the new Terms.

12. Governing law and jurisdiction

These Terms are governed by Italian law. For any dispute arising from this agreement, the parties agree on the exclusive jurisdiction of the Court of Milan, unless otherwise agreed in writing.
